Acceptance of Terms
By accessing www.futureys.com or engaging with services provided by Futureys Private Limited, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
Services Provided
- Custom software development for web, mobile, and enterprise applications.
- Web application and mobile app development.
- AI and chatbot development.
- Web design, branding, and digital marketing.
- WordPress and e-commerce development.
- Cloud and DevOps services.
- Consulting, project management, training, and technology workshops.
Specific deliverables, timelines, and pricing for each engagement are agreed separately in a written proposal or service agreement.
Client Responsibilities
- Provide accurate, complete, and timely information required for service delivery.
- Review and approve deliverables within agreed timelines.
- Make payments on time according to the agreed payment schedule.
- Ensure client-provided content, images, and materials do not infringe third-party intellectual property rights.
- Maintain confidentiality of login credentials or system access provided.
Payment Terms
- Software & IT Services
- Payment schedules are defined per project. A minimum deposit, typically 30-50% of project value, is required before work begins. Final payment is due upon project completion and before final delivery.
- Late Payments
- Late payments may incur an interest charge of 2% per month on the outstanding balance. Futureys may suspend services for overdue accounts exceeding 30 days.
Intellectual Property
Upon full payment, clients receive ownership of custom-developed software code and design assets created specifically for their project.
- Futureys retains ownership of proprietary frameworks, libraries, and tools used in development.
- Futureys retains ownership of pre-existing codebases, modules, and templates.
- Futureys retains ownership of internal methodologies and development processes.
- Futureys retains portfolio rights to showcase completed work unless otherwise agreed in writing.
Warranty & Maintenance
Software projects include a post-launch warranty period as specified in the project agreement. During that period, Futureys resolves bugs or defects at no additional charge.
- Warranty does not cover client modifications to delivered code.
- Warranty does not cover third-party service failures or API changes.
- Warranty does not cover feature requests beyond the original scope.
- Warranty does not cover server or hosting issues not managed by Futureys.
Liability, Confidentiality, and Termination
To the maximum extent permitted by Sri Lankan law, Futureys is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of services. Total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim.
Both parties agree to maintain confidentiality of proprietary information shared during an engagement. This obligation survives termination for 3 years.
Either party may terminate a service engagement with 30 days written notice. The client must pay for work completed up to the termination date, and Futureys will deliver completed work and project files subject to settlement of applicable fees.
Governing Law, Amendments, and Contact
These Terms and Conditions are governed by the laws of Sri Lanka. Disputes are subject to the exclusive jurisdiction of the courts of Sri Lanka, with good-faith negotiation expected before legal proceedings.
Futureys may modify these Terms and Conditions at any time. Significant changes may be notified by email or website notice. Continued use of services after amendments constitutes acceptance.
